I was involved with the formation of a company and we went with a partner and the whole thing went south over a difference of opinion. Yes it takes a good deal of time to setup under your own but anything worth doing usually takes time. Im not saying that a relationship with SB would be or go bad they seem like good people im just bringing my experience and knowledge to the table. I am in no way suggesting that we don't look at working with SB or anyone else im just suggesting that in the long run having our own 501 status will give us greater flexibility than if we use someone elses. There's legal, fiscal, and orginizational pros and cons to both setups.

i don't disagree at all. *any* way that we proceed we'll have to be very careful about making things work, and protecting all parties interests. it may end up making more sense for us to incorporate as a new NFP, and then absorb SB, or for us to be a for profit corp and rent to SB, and FG, or that we determine that nothing really works out at all.

since our general needs thus far for a space coincide so closely with SB and mesh well with FG it seems foolish to not explore how a partnership could work, as we start to finally organize.

Had a chat with my boss today about the group and he is going to get back to me. he is a CPA and our CFO and does more vodoo with numbers than i ever hope to understand well see what he comes up with.

bring him along to the meeting wed

the trick is we don't have a significant idea of what sitting under another umbrella would mean for our general operations, however it could save us a LOT of time and cost. it wouldn't necessarily preclude spinning off from the parent either.
